Notice of Resolutions Adopted at the 55th Ordinary General Shareholders Meeting
June 27, 2002
The 55th Ordinary General Shareholders Meeting was held on June 27, 2002 at Hanwa Co., Ltd.'s Osaka headquarters. The meeting lasted 38 minutes and was attended by 136 shareholders. Reports made and resolutions carried are described below:


Reports

Management reported on the company's business conditions, Balance Sheet, and Statement of Profit and Loss for the 55th fiscal year (April 1, 2001-March 31, 2002). The contents of these financial documents were reviewed in detail.


Resolutions

Proposal 1: Approval of a proposed appropriation of profits in the 55th fiscal year
The proposal was approved and adopted as proposed.
The Dividend will be 5 yen per share.

Proposal 2: Amendment of the Articles of Incorporation
The amendments of Certain Provisions of the Articles of Incorporation.


These proposals were approved as proposed. Pursuant to the enactment of each of the "Laws (inclusive) Amending Certain Provisions of the Commercial Code, etc." (Law No. 79 of 2001), "Law Amending Certain Provisions of the Commercial Code, etc." (Law No.128, 2001), and "Law Amending the Commercial Code and the Law Covering Certain Provisions for Exceptional Treatment with Respect to Auditing Joint Stock Companies as Provided in the Commercial Code (Law No. 149, 2001), the Company changed its Articles of Incorporation, abandoning the concept of the face value of its common shares and the even-lot share (tanni-kabu) system, and establishing a unit-shares (tangen kabu) system. The Company also introducing the practice of electronic preparation of corporate documents and the extension of tenure for statutory auditors.


Information regarding dividend payment

Dividends are paid via postal money orders (enclosed) which enable shareholders to receive dividends at any Japanese post office. For shareholders who wish to receive dividends through a designated bank account, the Company is including both a statement of dividend payments and an account information form. Please confirm that these documents are enclosed.
